Diese Bedingungen gelten für Lieferungen von Software-, Hardware- und sonstigen Erzeugnissen (Vertragserzeugnissen), Wartungsleistungen und alle sonstigen Lieferungen und Leistungen, die die protel hotelsoftware GmbH (protel) gegenüber Hotels, Händlern und sonstigen Kunden (Kunden) erbringt, soweit in dem zwischen protel und dem Kunden abgeschlossenen Lizenz-, Wartungs- oder sonstigen Vertrag (Vertrag) keine entgegenstehenden Vereinbarungen getroffen werden. Eventuell vom Kunden verwendete Bedingungen erlangen nur dann Geltung, wenn diese ausdrücklich von protel angenommen wurden.

protel hält sich an schriftliche Angebote drei Wochen gebunden. Eine Liefer- oder Leistungsverpflichtung von protel entsteht erst, wenn der Kunde das Angebot ausdrücklich angenommen hat. Ebenso sind Liefertermine nur verbindlich, wenn sie in dem Angebot ausdrücklich genannt sind. 

Die im Vertrag angegebenen Preise und Gebühren verstehen sich ohne Mehrwertsteuer (Mwst) und enthalten keine Auslagen wie Material-, Versand-, Reise- oder Leitungskosten; diese sind separat zu erstatten. Soweit der Vertrag eine zeitabhängige Vergütung vorsieht (Stunden- oder Tagessätze), ist der tatsächliche Zeitaufwand maßgeblich für die Berechnung; Zeitangaben in Angeboten verstehen sich als Schätzung. Für Wartungs- und sonstige Dienstleistungen von protel, die im Vertrag nicht aufgeführt sind, vergütet der Kunde den Zeitaufwand des von protel eingesetzten Personals nach Maßgabe der jeweils gültigen Preisliste von protel zzgl. Auslagen und Mwst. Dies gilt insbesondere für von protel vorgenommene Korrekturen der Installation der Vertragserzeugnisse einschließlich der Vernetzung, falls die Installation nicht von protel ausgeführt wurde, sowie für die Inanspruchnahme der Telefonberatung außerhalb des Vertrages. Im Falle eines Zahlungsverzugs ist der Kunde verpflichtet, Verzugszinsen in Höhe von 2 Prozent p.a. über dem jeweiligen Diskontsatz der Deutschen Bundesbank zu bezahlen. 

Die Gefahr des zufälligen Untergangs oder Beschädigung geht mit Übergabe der Vertragserzeugnisse auf den Kunden über. protel behält sich das Eigentum an allen dem Kunden gelieferten Vertragserzeugnissen bis zur vollständigen Zahlung derselben vor. 

Der Kunde unterlässt die Benutzung, Vervielfältigung, Verbreitung, Bearbeitung und sonstige Umarbeitung der protel-Software-Erzeugnisse, soweit diese nicht durch einen Lizenzvertrag mit protel ausdrücklich gestattet ist. 

Der Kunde beachtet bei einer evtl. Ausfuhr der Vertragserzeugnisse oder technischer Produkte derselben, auch im Wege der Datenfernübertragung, alle anwendbaren Ausfuhrbestimmungen seines Heimatstaates und der Vereinigten Staaten von Amerika. 

Der Kunde wird evtl. Fehler der Vertragserzeugnisse unverzüglich, spätestens innerhalb von zwei Wochen ab Feststellung des Fehlers, mitteilen. Erfolgt die Mitteilung fristgerecht, so wird das fehlerhafte Vertragserzeugnis von protel entweder ersetzt oder repariert. Sollten diese Maßnahmen fehlschlagen, ist der Kunde berechtigt, nach seiner Wahl die für die Vertragserzeugnisse gezahlte Vergütung (Lizenzgebühr oder Kaufpreis) herabzusetzen oder die Bestellung der fehlerhaften Vertragserzeugnisse rückgängig zu machen. 

Eine vertragliche oder außervertragliche Schadensersatzpflicht seitens protel, seiner Angestellten und Erfüllungsgehilfen besteht nur, sofern der Schaden auf grobe Fahrlässigkeit oder Vorsatz zurückzuführen ist. Eine eventuelle zwingende Haftung unter dem Gesichtspunkt des Fehlens einer zugesicherten Eigenschaft, einer zumindest leicht fahrlässigen Verletzung einer wesentlichen Vertragspflicht sowie für eventuelle Rechtsmängel bleibt unberührt. protel haftet für von ihr zu vertretende Schäden insgesamt bis zur Höhe des gemäß des Auftrages zu bezahlenden Systempreises (protel Lizenzgebühren zzgl. protel Dienstleistungsgebühren), wobei die Haftung auf den Lizenzpreis beschränkt ist, falls die Haftung hieraus resultiert bzw. auf die Dienstleistungsgebühren, wenn die Haftung hiermit im Zusammenhang steht. Maßgebend sind die bei der Entstehung des Anspruchs geltenden Gebühren ohne Umsatzsteuer. protel haftet nicht für mangelnden wirtschaftlichen Erfolg, mittelbare Schäden und Folgeschäden und für Schäden aus Ansprüchen Dritter mit Ausnahme von Ansprüchen aus Verletzung von Schutzrechten Dritter. Für die Wiederbeschaffung von Daten haftet protel nur, wenn der Kunde sichergestellt hat, dass diese Daten im Sinne ordnungsgemäßer Datenverarbeitung aus Datenbeständen, die in maschinenlesbarer Form bereitgehalten werden, mit vertretbarem Aufwand reproduzierbar sind. Vertretbar ist die externe Sicherung des Datenbestandes am Ende eines jeden Arbeitstages. protel haftet nicht für Schäden, die durch Vertragserzeugnisse verursacht worden sind, sofern diese aufgrund einer Überprüfung der Arbeitsergebnisse der Vertragserzeugnisse in regelmäßigen Abständen hätten vermieden werden können. Ferner haftet protel nicht für Schäden, die durch den Einsatz anderer Programme entstehen, welche die in den protel-Programmen gespeicherten Datenbestände verändern können. Eine eventuelle zwingende Haftung unter dem Gesichtspunkt der Produkthaftung bleibt unberührt. Schadenersatzansprüche gegen protel, mit Ausnahme von Schadensersatzansprüchen aus unerlaubter Handlung, verjähren nach den gesetzlichen Vorschriften, spätestens jedoch nach zwei Jahren ab Installation der betreffenden protel-Programme bei dem Kunden. 

Als PCI-DSS zertifiziertes Unternehmen haben wir unsere Produkte so gestaltet, dass sie konform zu den PCI-Anforderungen betrieben werden können. Die Verantwortung für die Einhaltung sämtlicher Anforderungen im Unternehmen liegt allerdings immer beim Betreiber des Hotels. Für die missbräuchliche Verwendung von dafür nicht vorgesehenen Feldern der Datenbank zur Eingabe von Kreditkartendaten übernimmt die protel hotelsoftware GmbH keinerlei Haftung, insbesondere nicht für die dadurch möglicherweise auftretenden Folgen, wie den Verlust der PCI-Zertifizierung, Geldstrafen bei Regelverstößen oder infolge eines Missbrauchs auftretende Haftungs- und Schadenersatzansprüche Dritter.

protel behält sich vor, in dringenden Fällen Informationen pro-aktiv per E-Mail zu versenden, selbst wenn sich der Kunde vom protel-Newsletter abgemeldet hat. Diese Service-Meldungen sind entsprechend gekennzeichnet und dienen ausschließlich der Weitergabe von geschäftskritischen Informationen, die der Kunde braucht, um handlungsfähig zu bleiben. (Beispiele: Geänderte technische Voraussetzungen, notwendige Anpassungen der Software-Konfiguration als Folge von Gesetzesänderungen, Statusmeldungen zur vom Kunden eingesetzten Software etc.) Der Kunde verpflichtet sich, hierfür eine aktuelle E-Mail-Adresse zur Verfügung zu stellen und protel zeitnah über Änderungen dieser E-Mail-Adresse zu informieren. 

protel ist berechtigt, für alle Leistungen nach dem Vertrag Unterauftragnehmer einzusetzen. Soweit protel dem Kunden für die Wartung von Hardware ein Wartungsunternehmen benennt, gilt dieses nicht als Erfüllungsgehilfe von protel. 

Jegliche Änderungen und Ergänzungen des Vertrages sind schriftlich niederzulegen. Dies gilt auch für einen Verzicht auf Rechte aus dem Vertrag oder diesen Bedingungen einschließlich dieses Formerfordernisses. Alle nach dem Vertrag abzugebenden Erklärungen und Mitteilungen sind nur schriftlich wirksam. 

Der Kunde ist nur mit vorheriger Zustimmung von protel berechtigt, die Rechte aus dem Vertrag – mit Ausnahme von Zahlungsansprüchen – abzutreten. Die Zustimmung darf nur aus wichtigem Grund verweigert werden. 

Die Aufrechnung mit Forderungen gegen protel ist ausgeschlossen, sofern diese nicht rechtskräftig festgestellt oder unbestritten sind; entsprechendes gilt für die Ausübung eines – auch kaufmännischen – Zurückbehaltungsrechts. 

Sollten eine oder mehrere Bestimmungen des Vertrages oder dieser Bedingungen unwirksam oder undurchführbar sein oder werden, so wird die Wirksamkeit der verbleibenden Bestimmungen nicht berührt. 

Die vertraglichen Beziehungen zwischen den Parteien unterliegen deutschem Recht mit Ausnahme der UN-Kaufrechtskonvention. 

Für alle Streitigkeiten aus oder im Zusammenhang mit dem Vertrag oder diesen Bedingungen sind die Gerichte in Dortmund ausschließlich zuständig, sofern der Kunde Vollkaufmann ist oder sich der Wohnsitz oder gewöhnliche Aufenthalt des Kunden zum Zeitpunkt der Klageerhebung entweder nicht im Inland befindet oder unbekannt ist. 

Diese Bedingungen gelten für Lieferungen von Software-, Hardware- und sonstigen Erzeugnissen (Vertragserzeugnissen), Wartungsleistungen und alle sonstigen Lieferungen und Leistungen, die die protel hotelsoftware Austria GmbH (protel) gegenüber Hotels, Händlern und sonstigen Kunden (Kunden) erbringt, soweit in dem zwischen protel und dem Kunden abgeschlossenen Lizenz-, Wartungs- oder sonstigen Vertrag (Vertrag) keine entgegenstehenden Vereinbarungen getroffen werden. Eventuell vom Kunden verwendete Bedingungen erlangen nur dann Geltung, wenn diese ausdrücklich von protel angenommen wurden. 

protel hält sich an schriftliche Angebote drei Wochen gebunden. Eine Liefer- oder Leistungsverpflichtung von protel entsteht erst, wenn der Kunde das Angebot ausdrücklich angenommen hat. Ebenso sind Liefertermine nur verbindlich, wenn sie in dem Angebot ausdrücklich genannt sind. 

Die im Vertrag angegebenen Preise und Gebühren verstehen sich ohne Mehrwertsteuer (Mwst) und enthalten keine Auslagen wie Material-, Versand-, Reise- oder Leitungskosten; diese sind separat zu erstatten. Soweit der Vertrag eine zeitabhängige Vergütung vorsieht (Stunden- oder Tagessätze), ist der tatsächliche Zeitaufwand maßgeblich für die Berechnung; Zeitangaben in Angeboten verstehen sich als Schätzung. Für Wartungs- und sonstige Dienstleistungen von protel, die im Vertrag nicht aufgeführt sind, vergütet der Kunde den Zeitaufwand des von protel eingesetzten Personals nach Maßgabe der jeweils gültigen Preisliste von protel zzgl. Auslagen und Mwst. Dies gilt insbesondere für von protel vorgenommene Korrekturen der Installation der Vertragserzeugnisse einschließlich der Vernetzung, falls die Installation nicht von protel ausgeführt wurde, sowie für die Inanspruchnahme der Telefonberatung außerhalb des Vertrages. Im Falle eines Zahlungsverzugs ist der Kunde verpflichtet, die gesetzlichen Verzugszinsen gem. § 456 UGB in Höhe von 9,2 Prozentpunkten über dem Basiszinssatz zu bezahlen. 

Die Gefahr des zufälligen Untergangs oder Beschädigung geht mit Übergabe der Vertragserzeugnisse auf den Kunden über. protel behält sich das Eigentum an allen dem Kunden gelieferten Vertragserzeugnissen bis zur vollständigen Zahlung derselben vor. 

Der Kunde unterlässt die Benutzung, Vervielfältigung, Verbreitung, Bearbeitung und sonstige Umarbeitung der protel-Software-Erzeugnisse, soweit diese nicht durch einen Lizenzvertrag mit protel ausdrücklich gestattet ist. 

Der Kunde beachtet bei einer evtl. Ausfuhr der Vertragserzeugnisse oder technischer Produkte derselben, auch im Wege der Datenfernübertragung, alle anwendbaren Ausfuhrbestimmungen seines Heimatstaates und der Vereinigten Staaten von Amerika. 

Der Kunde wird evtl. Fehler der Vertragserzeugnisse unverzüglich, spätestens innerhalb von zwei Wochen ab Feststellung des Fehlers, mitteilen. Erfolgt die Mitteilung fristgerecht, so wird das fehlerhafte Vertragserzeugnis von protel entweder ersetzt oder repariert. Sollten diese Maßnahmen fehlschlagen, ist der Kunde berechtigt, nach seiner Wahl die für die Vertragserzeugnisse gezahlte Vergütung (Lizenzgebühr oder Kaufpreis) herabzusetzen oder die Bestellung der fehlerhaften Vertragserzeugnisse rückgängig zu machen. 

Eine vertragliche oder außervertragliche Schadensersatzpflicht seitens protel, seiner Angestellten und Erfüllungsgehilfen besteht nur, sofern der Schaden auf grobe Fahrlässigkeit oder Vorsatz zurückzuführen ist. Eine eventuelle zwingende Haftung unter dem Gesichtspunkt des Fehlens einer zugesicherten Eigenschaft, einer zumindest leicht fahrlässigen Verletzung einer wesentlichen Vertragspflicht sowie für eventuelle Rechtsmängel bleibt unberührt. protel haftet für von ihr zu vertretende Schäden insgesamt bis zur Höhe des gemäß des Auftrages zu bezahlenden Systempreises (protel Lizenzgebühren zzgl. protel Dienstleistungsgebühren), wobei die Haftung auf den Lizenzpreis beschränkt ist, falls die Haftung hieraus resultiert bzw. auf die Dienstleistungsgebühren, wenn die Haftung hiermit im Zusammenhang steht. Maßgebend sind die bei der Entstehung des Anspruchs geltenden Gebühren ohne Umsatzsteuer. protel haftet nicht für mangelnden wirtschaftlichen Erfolg, mittelbare Schäden und Folgeschäden und für Schäden aus Ansprüchen Dritter mit Ausnahme von Ansprüchen aus Verletzung von Schutzrechten Dritter. Für die Wiederbeschaffung von Daten haftet protel nur, wenn der Kunde sichergestellt hat, dass diese Daten im Sinne ordnungsgemäßer Datenverarbeitung aus Datenbeständen, die in maschinenlesbarer Form bereitgehalten werden, mit vertretbarem Aufwand reproduzierbar sind. Vertretbar ist die externe Sicherung des Datenbestandes am Ende eines jeden Arbeitstages. protel haftet nicht für Schäden, die durch Vertragserzeugnisse verursacht worden sind, sofern diese aufgrund einer Überprüfung der Arbeitsergebnisse der Vertragserzeugnisse in regelmäßigen Abständen hätten vermieden werden können. Ferner haftet protel nicht für Schäden, die durch den Einsatz anderer Programme entstehen, welche die in den protel-Programmen gespeicherten Datenbestände verändern können. Eine eventuelle zwingende Haftung unter dem Gesichtspunkt der Produkthaftung bleibt unberührt. Schadenersatzansprüche gegen protel, mit Ausnahme von Schadensersatzansprüchen aus unerlaubter Handlung, verjähren nach den gesetzlichen Vorschriften, spätestens jedoch nach zwei Jahren ab Installation der betreffenden protel-Programme bei dem Kunden. 

Als PCI-DSS zertifiziertes Unternehmen haben wir unsere Produkte so gestaltet, dass sie konform zu den PCI-Anforderungen betrieben werden können. Die Verantwortung für die Einhaltung sämtlicher Anforderungen im Unternehmen liegt allerdings immer beim Betreiber des Hotels. Für die missbräuchliche Verwendung von dafür nicht vorgesehenen Feldern der Datenbank zur Eingabe von Kreditkartendaten übernimmt die protel hotelsoftware GmbH keinerlei Haftung, insbesondere nicht für die dadurch möglicherweise auftretenden Folgen, wie den Verlust der PCI-Zertifizierung, Geldstrafen bei Regelverstößen oder infolge eines Missbrauchs auftretende Haftungs- und Schadenersatzansprüche Dritter. 

protel behält sich vor, in dringenden Fällen Informationen pro-aktiv per E-Mail zu versenden, selbst wenn sich der Kunde vom protel-Newsletter abgemeldet hat. Diese Service-Meldungen sind entsprechend gekennzeichnet und dienen ausschließlich der Weitergabe von geschäftskritischen Informationen, die der Kunde braucht, um handlungsfähig zu bleiben. Any compulsory liability which may possibly apply from the aspect of the lack of a warranted quality, a breach of a contractual obligation which is at least attributable to ordinary negligence as well as for any possible legal defects thereof, shall not be affected. protel shall be liable for damage for which it is to blame altogether up to the amount of the system price to be paid in accordance with the order (protel licence fees plus protel service fees), whereby liability shall be limited to the price of the licence, if liability arises as a result, or to the service fees, if liability is in connection with them.

The fees in force excluding VAT when the claim materialises shall prevail. protel shall not be liable for a lack of economic success, indirect damages and consequential damages and for damages arising from third party claims with the exception of claims arising from the breach of third party proprietary rights. protel shall only be liable for making good the loss of data if the client has ensured that this data is held ready in the form of computerised data stocks as required by proper data processing standards and can be reproduced at justifiable expense.

The external back-up of data stock at the end of each working day is justifiable. protel shall not be liable for damage caused by contractual products in so far as this could have been avoided by checking the work results of the contractual products at regular intervals. Moreover, protel shall not be liable for damage caused as a result of using other programs which can change the data stocks saved in the protel programs. Any compulsory liability there may be under product liability shall not be affected.

With the exception of claims for compensation for damages based on illegal acts, claims for compensation for damages shall become time-barred in accordance with the legal provisions (of Germany), and no later than two years from the installation of the protel programs at the client’s premises.

protel hotelsoftware GmbH will not assume any responsibility for the improper use of the software e.g. data-base fields not intended for the entry of credit card data, nor will it assume responsibility for resulting damages thereof, i.e., loss of PCI certification and/or monetary penalties resulting from rule violations or misuse, and/or third-party liability or damages claims resulting thereof.
